These Terms of Use, together with our Privacy Policy and Acceptable Use Statement ("Agreement"), govern your access to and use of our website located at www.aags.us, including all subdomains, mobile applications, software, tools and online services provided in connection with our technology consulting operations (collectively, the "Service").

By accessing or using the Service, you signify that you have read, understood and agree to be bound by this Agreement. If you do not agree to these terms, you must immediately cease accessing and using the Service.

1. Eligibility and Account Terms

  • Eligibility: You may use the Service only if you can form a binding contract with AAGS and only in compliance with this Agreement and all applicable local, state, federal and international laws, rules and regulations.
  • Age Requirement: You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to access or use our digital platforms.
  • Account Responsibility: When creating an account you must provide accurate, complete and current information. You are solely responsible for maintaining the confidentiality of your account credentials and password. You agree to notify AAGS immediately of any unauthorised access or security breach. AAGS is not liable for any losses caused by unauthorised use of your account.
  • Third-Party Services: Connecting your AAGS account with a third-party service grants us permission to access and store your authentication credentials and data as permitted by that third-party service.

2. User Content and Licensing

  • User Content Rights: You retain ownership of any content, profile information, questions, comments or other materials you post or submit ("User Content").
  • License Grant to AAGS: By posting User Content, you grant AAGS a worldwide, perpetual, irrevocable, transferable, sub-licensable, royalty-free, non-exclusive license to use, reproduce, modify, publish, adapt, distribute, display and create derivative works from such content in connection with operating and providing the Service.
  • License Grant to Other Users: You grant each user a non-exclusive license to access and interact with your public User Content as permitted through the functionality of the Service.
  • User Content Warranties: You represent and warrant that your User Content does not violate any third-party intellectual property, privacy or publicity rights, and that you possess all necessary rights and clearances. AAGS acts as a passive conduit and assumes no liability for User Content submitted by you or any third party.
  • Unsolicited Ideas: Any feedback, comments or suggestions submitted to AAGS regarding the Service are gratuitous, non-confidential and provided without restriction or compensation to you.

3. Proprietary Rights and Limited License

  • Intellectual Property: All content, software, design, text, graphics, logos, trademarks, service marks and proprietary materials provided on the Service (the "AAGS Content") are the exclusive property of AAGS or its licensors, protected under United States and international copyright, trademark and patent laws.
  • Limited License: AAGS grants you a non-exclusive, limited, non-transferable, freely revocable license to access and use the Service for internal, non-commercial, informational purposes only. All rights not expressly granted are reserved by AAGS.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AAGS DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. AAGS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AA GLOBAL SOLUTIONS, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

UNDER NO CIRCUMSTANCES WILL AAGS BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORISED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT. IN NO EVENT SHALL AAGS'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO AAGS HEREUNDER OR $100.00, WHICHEVER IS GREATER.

7. Indemnification

You agree to defend, indemnify and hold harmless AA Global Solutions, Inc., its officers, directors, employees, agents and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including attorneys' fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of this Agreement; (iii) your violation of any third-party right, including privacy, telecommunications or intellectual property rights; or (iv) any claim that your User Content caused damage to a third party.

8. Governing Law, Jurisdiction and Arbitration

  • Governing Law: This Agreement shall be governed by and construed in accordance with the internal substantive laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
  • Jurisdiction and Venue: You agree that any legal action or proceeding arising out of or relating to this Agreement, the Service, or transactions conducted through Florida, Maryland or federal jurisdiction shall be brought exclusively in the state or federal courts located in the Commonwealth of Virginia, and you submit to the personal jurisdiction of such courts.
  • Binding Arbitration Option: For any claim where the total award sought is less than $10,000, either party may elect to resolve the dispute through binding, non-appearance-based arbitration administered by an established Alternative Dispute Resolution provider. The arbitration shall be conducted via phone, online or written submissions, without personal appearance, and judgment on the award may be entered in any court of competent jurisdiction.
  • International Use: The Service is controlled and operated from facilities within the United States. AAGS makes no representation that the Service is appropriate or available for use outside the United States. Users accessing the Service from outside the U.S. do so at their own risk and are responsible for compliance with local and U.S. export and import controls.

9. Miscellaneous Provisions

  • Severability: If any provision of this Agreement is found invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
  • No Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
  • Entire Agreement: This Agreement constitutes the entire agreement between you and AAGS regarding the Service, superseding all prior or contemporaneous communications.
  • Changes to Policy: AAGS reserves the right to amend this Agreement at any time. Non-substantive changes take effect immediately. Material updates will be announced via website posting or direct notification. Continued use of the Service following modifications constitutes acceptance.
